STANDARD TERMS AND CONDITIONS FOR SUCCESS TUTORING PARTNER PROGRAM

1. INTERPRETATION

In this document the following words shall have the following meanings:

1.1 Business Partner; means any person or company 

1.2 Supplier; means Success Tutoring

1.3 Customer; means any customer that belongs to Success Tutoring

1.4 Terms and Conditions; means the terms and conditions of partnership set out in this document and any special terms and conditions agreed in writing.

2. GENERAL

2.1 These Terms and Conditions shall apply to all contracts for the promotion of services by the Supplier for the business partner. 

2.2 Any variation to these Terms and Conditions shall be inapplicable unless agreed in writing by the Supplier.

2.3 Agreement to these terms and conditions allow the supplier (Success Tutoring) to promote and drive traffic to the partners links provided via marketing strategies the supplier wishes to utilise.

3. PRICE AND PAYMENT

3.1 Payment of a registration fee of $200 is to be paid per year (and due on the anniversary of joining the partnership program) for each Business Partner and payment is a once off. Payment must be made by credit/debit card on-line.

3.2 The Supplier reserves the right to run promotions on any service which the Business Partner offers at any time. Once a service or project has been ordered by the Customer, the price shall remain fixed for the Customer. Under no circumstances shall the supplier refund the difference should the price of that service decrease.

4. BUSINESS PARTNER’S OBLIGATIONS

To enable the Supplier to perform its obligations the Business Partner shall:

4.1 Cooperate with the Supplier;

4.2 Provide the Supplier with any information reasonably required by the Supplier;

4.3 Keep the supplier notified of their correct name, postal address and any phone, fax or email,

and social media information.

4.5 Allow supplier (Success Tutoring) to utilise business logos and information for promotional purposes

4.5 Agree to provide a special offer(s)/discount solely to supplier, that is not in conjunction with

any other offer.

4.6 Agree to not provide any tutoring service or related service that Success Tutoring offers, that may be in direct competition with Success Tutoring.

4.7 Agree to not register or become partners with other tutoring businesses.

4.8 Comply with such other requirements as agreed between the parties.

4.9 Comply with all other statutory requirements – particularly in regards to data protection and confidentiality.

5. SUPPLIER OBLIGATIONS

5.1 The Supplier shall perform the services outlined in email with reasonable skill and care and

to a reasonable standard in accordance with recognised standards and codes of practice.

5.2 Data protection: All data is kept digitally by Success Tutoring and is not paper printed or passed onto third-parties

5.3 The Supplier agrees to not publicly share or promote said discount or offer with or onto third-parties

6. LIMITATION OF LIABILITY

6.1 Nothing in these Terms and Conditions shall exclude or limit the liability of the Supplier for death or personal injury. However the Supplier shall not be liable for any direct loss or damage suffered by the Partner howsoever caused, as a result of any negligence, breach of contract or otherwise in excess of the price of the Services.

6.2 The Supplier shall not be liable under any circumstances to the Partner or any third party for any indirect or consequential loss of profit or other economic loss suffered by the Partner howsoever caused, as a result of any negligence, breach of contract, misrepresentation or otherwise.

7. FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the party shall be entitled to a reasonable extension of its obligations.

8. SUCCESS TUTORING PLUS PROPERTY AND COPYRIGHT

The contents of the Success Tutoring website may not be copied, reproduced, distributed, republished, displayed, posted or transmitted in any form or by any means without the prior express written permission of Success Tutoring Australia Pty Ltd. Format and layout of the website and associated pages are the property of Success Tutoring.

10. SEVERANCE

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

11. LEGAL COMPLIANCE

11.1.In addition to this Agreement, you must familiarise yourself with, and comply with the Policies, domestic laws (including common law), state legislation, international laws, statutes, ordinances and regulations regarding your use of our services. Notwithstanding successful conclusion of a transaction you must ensure strict compliance with any particular formalities that, if not complied with, will either render a transaction void or unlawful.

11.2.You alone, and not we, are responsible for ensuring that the services and any other activities conducted on the software are lawful. You must ensure that they comply with all applicable laws in Australia and all other countries

11.3.You should comply with country and state and regulations.

12. ENTIRE AGREEMENT

12.1.These Terms collectively represent the entire agreement and understanding between you and us and supersede any other agreement or understanding (written, oral or implied) that you and we may have had. Any statement, inducement, promise, covenant or condition not expressly found either in these Terms shall be deemed as void.
